Terms of Service

These Terms of Service ("Terms") govern your use of the Om3ga AI platform ("Service") operated by Om3ga AI LLC ("Om3ga," "we," "us," or "our"). By accessing or using om3ga.ai, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing, or using any Om3ga AI service, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any applicable Non-Disclosure Agreement (NDA) or Beta Tester Agreement (BTA) you have signed. If you do not agree, do not use our services.

2. Account Responsibilities

• You must be at least 18 years old to create an account, or have parental/guardian consent if between 13-17.
• You are responsible for maintaining the confidentiality of your login credentials.
• You are responsible for all activity that occurs under your account.
• You must provide accurate information during registration.
• You must notify us immediately at chad@om3ga.ai if you suspect unauthorized access to your account.
• We reserve the right to suspend or terminate accounts that violate these Terms.

3. Acceptable Use

3.1 You May Use Om3ga AI To:

• Generate content for personal, educational, professional, or business purposes
• Research, analyze, and process information within the scope of the tools provided
• Create, edit, and export documents, code, images, and other AI-generated content
• Access educational tools for learning and study assistance

3.2 You May NOT Use Om3ga AI To:

• Generate content that is illegal, harmful, threatening, abusive, harassing, defamatory, or obscene
• Impersonate another person or entity
• Attempt to gain unauthorized access to our systems, other user accounts, or data
• Reverse engineer, decompile, or disassemble any part of our software
• Use our services to develop competing AI products or services
• Scrape, data mine, or systematically extract content from our platform
• Use our healthcare tools as a substitute for professional medical advice, diagnosis, or treatment
• Use our legal tools as a substitute for licensed legal counsel
• Submit content that infringes on third-party intellectual property rights
• Use our services to generate spam, phishing content, or malware
• Attempt to bypass rate limits, authentication, or security measures
• Share your account credentials with others

3.3 Content Accountability Framework

You are solely responsible for:

• The prompts, instructions, and content you submit to Om3ga AI services
• Reviewing and verifying all AI-generated content before use
• Ensuring your use of AI-generated content complies with applicable laws, regulations, and institutional policies
• Any consequences arising from your use or distribution of AI-generated content

Om3ga AI provides tools that generate content based on your instructions. We do not endorse, guarantee the accuracy of, or assume liability for AI-generated content. All AI-generated content should be reviewed by a qualified professional before use in critical applications (healthcare, legal, financial, engineering).

4. Subscription Terms and Billing

4.1 Service Tiers

• Beta Access (Current): Free access by invitation only during the beta testing period. Beta features may be unstable, incomplete, or subject to change.
• Free Tier: Basic access to select services with usage limits (to be defined at general launch).
• Premium Tier: Full access to all services including premium features such as the Consensus Engine, Writing Style Analysis, and priority processing.
• Enterprise Tier: Custom solutions, dedicated infrastructure, SLAs, and priority support.

4.2 Billing

• Subscription fees will be billed monthly or annually at the then-current rates.
• All fees are quoted in US dollars.
• You authorize us to charge your selected payment method for recurring subscription fees.
• Prices may change with 30 days' notice to existing subscribers.

4.3 Refund Policy

• Monthly subscriptions: No refunds for partial months. You may cancel at any time to prevent future charges.
• Annual subscriptions: Pro-rated refund for unused months if cancelled within the first 30 days. No refund after 30 days.
• If we terminate your account for a violation of these Terms, no refund will be issued.
• Refund requests should be submitted to chad@om3ga.ai within 30 days of the charge.

5. Service Availability

• We aim to provide reliable service but do not guarantee 100% uptime.
• Services may be temporarily unavailable for maintenance, updates, or unforeseen technical issues.
• AI processing depends on local hardware resources and may experience delays during high-demand periods.
• We reserve the right to modify, suspend, or discontinue any service at any time.

6. Intellectual Property

6.1 Om3ga AI Platform

The Om3ga AI platform, including all software, algorithms, interfaces, designs, documentation, and branding, is the exclusive intellectual property of Om3ga AI LLC. All rights reserved. You may not copy, modify, distribute, sell, or create derivative works based on our platform without explicit written permission.

6.2 User-Generated Content

You own the content you create using Om3ga AI.

• Content you generate using our AI tools (essays, documents, images, code, analysis reports, etc.) belongs to you.
• You grant Om3ga AI a limited, non-exclusive license to store and process your content as necessary to provide the services you request.
• We do not claim ownership of your generated content.
• We do not use your generated content to train AI models for other users without your explicit consent.

6.3 Third-Party Content

Content you submit to Om3ga AI (uploaded documents, reference materials, etc.) must be content you have the right to use. You represent that you have the necessary rights, licenses, or permissions for any content you submit.

7. Non-Disclosure Agreement

Access to Om3ga AI requires acceptance of our Non-Disclosure Agreement (NDA). The NDA is incorporated into these Terms by reference. By using Om3ga AI, you agree to:

• Keep confidential any non-public features, capabilities, or technical details of the platform
• Not disclose proprietary information about Om3ga AI's architecture, algorithms, or business operations
• Report any unauthorized disclosure immediately to chad@om3ga.ai

8. Limitation of Liability

• Your use or inability to use our services
• Any errors, inaccuracies, or omissions in AI-generated content
• Unauthorized access to or alteration of your data
• Any third-party conduct or content on our services
• Service interruptions, hardware failures, or data loss

IN NO EVENT SHALL OM3GA AI LLC'S TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

9. Dispute Resolution

9.1 Governing Law

These Terms are governed by the laws of the State of Wisconsin, United States, without regard to conflict of law provisions.

9.2 Jurisdiction

Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Marathon County, Wisconsin, and you consent to the personal jurisdiction of such courts.

9.3 Informal Resolution

Before filing any legal claim, you agree to attempt to resolve the dispute informally by contacting us at chad@om3ga.ai. We will attempt to resolve the dispute within 30 days.

9.4 Limitation Period

Any claim arising from or relating to these Terms must be filed within one (1) year after the cause of action arises, or the claim is permanently barred.

10. Termination

10.1 By You

You may terminate your account at any time by contacting chad@om3ga.ai. Upon termination:

• Your access to Om3ga AI services will be revoked
• Your data will be deleted within 30 days
• Provisions that by their nature should survive termination (confidentiality, limitation of liability, dispute resolution) will survive

10.2 By Us

We may suspend or terminate your account at any time if:

• You violate these Terms or the Acceptable Use policy
• Your account is used for illegal activity
• You fail to pay subscription fees (when applicable)
• We reasonably believe your continued use poses a security risk

We will provide notice of termination when reasonably possible, except in cases of serious violations where immediate action is necessary.

11. Indemnification

You agree to indemnify, defend, and hold harmless Om3ga AI LLC, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of our services, your violation of these Terms, or your violation of any third-party rights.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated to registered users via email at least 14 days before taking effect. Your continued use of Om3ga AI after the effective date of updated Terms constitutes acceptance of the changes.

13. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

14. Entire Agreement

These Terms, together with our Privacy Policy, NDA, and any applicable Beta Tester Agreement, constitute the entire agreement between you and Om3ga AI LLC regarding the use of our services.
